Recognition Group Terms of Service

Welcome to Recognition Group (Pty) Ltd. (“Company”, “we”, “our”, “us”). These Terms of Service (“Terms”) govern your use of our website music.recognitiongroup.co.za (the “Site”) and our services (collectively, the “Services”). By accessing or using our Services, you agree to comply with and be bound by these Terms. If you do not agree with these Terms, you must not use our Services.

1. Acceptance of the Terms of Service

By using the Platform or clicking to accept these Terms, you agree to be bound by:

Eligibility:

You must be at least 13 years old to use our Services.
By using our Services, you represent that you are of legal age or have parental consent (if under 18).

2. Changes to Terms

We may update these Terms periodically. Changes will be posted on this page with an updated effective date. Continued use of our Services after changes constitutes acceptance.

3. User Responsibilities

Account Security

You are responsible for maintaining your account confidentiality and all activities under it.
Notify us immediately of unauthorized account use.

Prohibited Conduct

You agree not to:

Violate applicable laws or regulations.
Interfere with or disrupt our Services.
Use bots, scripts, or fraudulent means to inflate streams/downloads.
Transfer or resell ISRCs/UPCs without consent (see Section 9).

4. Service Usage

Release Timelines

A minimum of two (2) weeks is required for all releases.
Releases submitted with earlier dates will be adjusted to meet our delivery timelines.

License Grant

We grant you a limited, non-exclusive, non-transferable license to use our Services for personal or business purposes.
You retain 100% copyright ownership but grant Recognition Group exclusive distribution rights to selected DSPs.

5. Payment & Fees

Royalty Splits

Paid Plans (Artist & Label Subscriptions): 100% royalty rate.
Free Distribution: 80% royalty rate after our 20% fee.

Sync Licensing

Artist retains 80% of sync fees; Recognition Group retains 20%.

Advances

Eligible if quarterly earnings exceed R15,000 (10% advance on future royalties).

Refunds

No refunds for subscription fees.

6. Intellectual Property

Ownership

All platform content, trademarks, and IP are owned by Recognition Group or licensors.
You may not use, copy, or distribute our IP without prior written consent.

End User Content

You warrant that you own or have rights to all uploaded content.
We may remove content suspected of infringement.

7. Data Protection

Social Media Logins

By using Facebook/Instagram logins, you consent to data collection per our Privacy Policy.

GDPR Compliance

For EU users, data is processed in accordance with our GDPR Policy.

8. Termination

We may suspend/terminate your account for breaches (e.g., fraud, unauthorized transfers).
Post-Termination: We collect royalties for up to 6 months.

9. Breach & Penalties

Transfer of Identifiers

ISRCs/UPCs are Recognition Group’s property.
Unauthorized transfers incur fees:$10 per UPC, $10 per UPC, $1 per ISRC.

Remediation

15 days to remedy breaches (e.g., fraud, false information, copyright infringement).

10. Governing Law & Disputes

Governed by South African law.
Disputes resolved in South African courts.

12. Miscellaneous

Entire Agreement: These Terms supersede prior agreements.
Force Majeure: Not liable for delays beyond our control (e.g., natural disasters, strikes).
Promotion: We may offer complimentary marketing services at our discretion.
